Amendment to Bylaws

On May 14, 2024, the Board of Directors (the "Board") of Cyber App Solutions Corp. (the "Company") approved an amendment to Article II of the Company's Bylaws (the "Bylaws") to provide that the Company may hold an annual meeting of shareholders on a date and time determined by the Board. The amendment became effective as of May 14, 2024. The amended Bylaws of the Company are filed herewith as Exhibit 3.1 and are incorporated herein by reference.
