NORMA Group SE: Release according to Article 40, Section 1 of the WpHG (the German Securities Trading Act) with the objective of Europe-wide distribution »

Allianz Global Investors GmbH, Frankfurt/Main, Germany informed us on September 28, 2021 pursuant to Section43 (1), sentence 1 and 3WpHG thereby making reference to the exceedance of the threshold of 10% or a higher threshold from September 20, 2021, as follows:

1) Allianz Global Investors GmbH does not directly hold any voting rights in the Company. All voting rights are fully attributed by funds managed by Allianz Global Investors GmbH (the 'Funds'), which in turn hold the voting rights;

2) the Funds' participation in the Company is for the purpose of generating trading profits;

3) Allianz Global Investors GmbH intends, depending on the stock exchange price and the general economic situation of the Company, to obtain further voting rights, if any, for individual or several Funds by acquisition or otherwise within the next twelve months;

4) Allianz Global Investors GmbH seeks to influence the composition of the administrative, management and supervisory bodies of the Company by expressing opinions, giving advice and making recommendations. Allianz Global Investors GmbH does not intend to participate in the relevant bodies or in the active management of the Company (not even via affiliated third parties), nor does it intend to have any legal or de facto authority to issue directives;

5) Allianz Global Investors GmbH currently does not seek any significant change in the capital structure of the Company, in particular with regard to the ratio of equity and debt financing and the dividend policy.

Furthermore, Allianz Global Investors GmbH discloses the following with regard to the origin of the funds used for the acquisition of the voting rights pursuant to Section 43 (1) sentence 1 and 4 WpHG:
The voting rights were acquired by means of funds managed by Allianz Global Investors GmbH. Therefore, Allianz Global Investors GmbH did not raise any own or third-party funds for the acquisition of the voting rights.
