Patrick Industries, Inc. (the 'Company') is registering an additional 637,500 shares of its common stock for issuance or distribution under the Patrick Industries, Inc. 2009 Omnibus Incentive Plan, as amended (the 'Plan'), with the filing of this Registration Statement on Form S-8. The Company's stockholders approved the addition of these shares to the Plan at the Company's Annual Meeting of Stockholders held on May 17, 2017.
Pursuant to General Instruction E to Form S-8, the Company hereby incorporates by reference into this Registration Statement the contents of the Form S-8 Registration Statements filed with respect to the Plan on March 30, 2010 (File No. 333-165788) and August 22, 2014 (File No. 333-198321) except to the extent otherwise updated or modified by this Registration Statement.

The Registrant's Articles of Incorporation provide that it shall indemnify its directors and officers to the fullest extent permitted by the Indiana Business Corporation Law. The Registrant's By-laws require the company to indemnify its directors and officers and such provisions require it, among other things, (i) to indemnify officers and directors against certain liabilities that may arise by reason of their status or service as directors or officers provided such persons acted in good faith and in a manner reasonably believed to be in the best interests of the Registrant and, with respect to any criminal action, had no cause to believe their conduct was unlawful; (ii) to advance the expenses actually and reasonably incurred by its officers and directors as a result of any proceeding against them as to which they could be indemnified, and (iii) to obtain directors' and officers' insurance if available on reasonable terms.
