This Registration Statement on Form 8-A is being filed by Tandy Leather Factory, Inc., a Delaware corporation (the "Registrant"), in connection with the registration of its common stock, par value $0.0024 per share (the "Common Stock"), under Section 12(b) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and the listing of the Common Stock on the Nasdaq Stock Market LLC commencing on or about September 7, 2022.

For a description of the Common Stock, reference is made to the information set forth under the caption "Description of Capital Stock" filed as Exhibit 4.1 to the Registrant's Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on June 22, 2021. Such information shall be deemed to be incorporated by reference in this Registration Statement on Form 8-A.
