Asim Grabowski-Shaikh Comments on Potential for Increased SPAC Scrutiny Under New SEC Chairman

Grabowski-Shaikh told Law360 that SEC guidance offers a jumping-off point for regulators to inquire further into SPAC transactions. He expects the agency to focus on what procedures blank-check teams and target companies used to establish deal values. 'That seems to be a natural landing spot for the commission's focus,' said Grabowski-Shaikh. 'I wouldn't be surprised if we see enhanced scrutiny there.'
