Avis Industrial Corporation ("Avis") and AIC Merger Sub, Inc., a wholly-owned subsidiary of Avis ("Merger Sub"), commenced a tender offer (the "Offer") on April 20, 2022 for all of the issued and outstanding shares of International Baler Corporation ("Baler"), not owned by Avis. The Offer expired on May 19, 2022, at which time Merger Sub accepted for payment a total of 613,766 shares of Baler's common stock that were validly tendered into the Offer and not withdrawn.
