Item 8.01 Other Items.

As previously disclosed by Chimerix, Inc. (the "Company"), on March 24, 2021, the Biomedical Advanced Research and Development Authority ("BARDA") issued a Small Business Sources Sought Notice (the "Original SSN") seeking information on availabilities and capabilities for procuring, stockpiling, and investing in the development of FDA-approved smallpox antiviral(s) with alternative mechanism(s) of action to TPOXX®. The Company subsequently responded to the Original SSN with information on its relevant capabilities, experience and interest.

On November 29, 2021, BARDA issued a Pre-solicitation Synopsis - Notice of Intent to Sole Source (the "Notice") which stated, among other things, BARDA's intent to negotiate a sole source contract with the Company for the development and procurement of a smallpox therapeutic with a mechanism of action distinct from that of TPOXX® and with an NDA accepted by the FDA. The issuance of the Notice is a requisite step in the sole source contracting process and indicates BARDA's intent to issue a Request for Proposal (RFP), and negotiate solely with Chimerix, following expiration of the notice period on December 14, 2021.
