Mitsui Acquires Additional Shares of Hokendohjinsha and Strengthens Framework for Promoting MBK Wellness Holdings' Wellness Business in Japan

Mitsui & Co., Ltd. ("Mitsui", Head Office: Tokyo, President and CEO: Kenichi Hori) acquired additional shares of Hokendohjinsha, Inc. ("Hokendohjinsha", Head Office: Tokyo, President and CEO: Tadahiro Dantsuka), a presymptomatic and preventive healthcare service provider, and transferred all the shares in Hokendohjinsha that Mitsui owned to MBK Wellness Holdings & Co., Ltd. ("MWH", Head Office: Tokyo, President and CEO: Tadahiro Dantsuka), which is a wholly owned subsidiary of Mitsui.
In addition, Hokendohjinsha and Human Frontier, Inc. ("Human Frontier"), both of which are under the umbrella of MWH, concluded a strategic business alliance agreement for employee assistance program (EAP) business*1.

Mitsui has been providing services related to presymptomatic and prevention care through Hokendohjinsha in response to growing awareness of prevention and presymptomatic care and an increasing need for health and productivity management. In February 2022, through MWH, Mitsui made Human Associates Holdings, Inc. ("HA") its subsidiary. HA operates EAP business, staff agency business, and human resources development business.

By positioning MWH as the core business company in the wellness business in Japan and positioning Hokendohjinsha and HA under the umbrella of MWH, Mitsui will further accelerate the utilization of know-how and customer networks among the operating companies, strengthen the competitiveness of their products and services, expand their sales channels, and promote DX initiatives.

In particular, in the EAP business area, by leveraging Hokendohjinsha's digital platform*2 and Human Frontier's capabilities to provide nationwide universal EAP services, as well as the customer bases of both companies, they will contribute to corporate value enhancement through health and productivity management promotion.

Mitsui has positioned the healthcare and nutrition domain as one of its strategic focus areas in its Medium-term Management Plan 2023 and has been working to establish a health business cluster called Wellness All Mitsui ("WAM").
The acquisition and transfer of shares mentioned above is one of the concrete measures to expand complex solutions for health and productivity management within the WAM initiative. Mitsui will contribute to the enrichment of people's lives through this project.

*1 Employee assistance program: A generic term for programs and services that support employees of companies so that they can work with a healthy mind and body.
*2 Hokendohjinsha's digital platform: A digital platform that allows health insurance associations and corporate human resources departments to centrally manage health checkup-related data and other data and provide one-stop presymptomatic and prevention care services.
