Item 8.01 - Other Events

On July 29, 2022, SE Property Holdings, LLC ("SEPH"), a subsidiary of Park National Corporation ("Park"), completed the foreclosure of a property (the "Property") securing one of the non-performing loans in the SEPH commercial loan portfolio, which had previously been charged-off. Upon completion of the foreclosure, on August 5, 2022, SEPH sold the Property to a third-party purchaser for cash consideration in the amount of $12.4 million. The estimated pre-tax impact to Park's net income for future periods will be an addition of $11.4 million ($9.0 million net of tax) for the quarterly period ending September 30, 2022 and of $11.4 million ($9.0 million net of tax) for the fiscal year ending December 31, 2022, which amount reflects the consideration received from the third-party purchaser, less estimated direct expenses incurred in connection with the sale of the Property in the aggregate amount of $1.0 million.
