Merger Update

We have achieved another important milestone as we work toward Legal Close of our proposed merger with Chevron. The U.S. Securities and Exchange Commission (SEC) has completed its review and Hess has just filed its definitive proxy statement, which includes information about a special meeting for Hess shareholders on May 28 to vote on the proposed merger. This special meeting is separate from the regular annual meeting of shareholders taking place on May 15.

We continue to work with the U.S. Federal Trade Commission (FTC) on its request for additional information and anticipate obtaining all necessary shareholder and regulatory approvals by the middle of 2024. In terms of the arbitration with ExxonMobil and CNOOC relating to a right of first refusal (ROFR) provision in the Stabroek joint operating agreement, Hess is seeking to have the merits of the arbitration heard by the third quarter of 2024 and to complete the arbitration by the end of 2024.

While we cannot predict the actual date for closing, Chevron and Hess are confident that our position will prevail in arbitration and are working to complete the merger as soon as practicable. In the meantime, our focus remains on safe, reliable, and responsible operations and strong performance.
