Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 14, 2023, Fannie Mae filed a Form 8-K to report that, among other things, David C. Benson would retire as President of Fannie Mae and that Fannie Mae's Board of Directors appointed Priscilla Almodovar to succeed Mr. Benson as President in addition to her role as Chief Executive Officer.
Fannie Mae is filing this Amendment No. 1 to that Form 8-K to report that Mr. Benson notified Fannie Mae on April 22, 2024 that his resignation would be effective as of May 3, 2024, and that effective on May 4, 2024, Ms. Almodovar will be Fannie Mae's President and Chief Executive Officer.
