5.Cause of occurrence:
The 2022 Annual Shareholder's Meeting approved the Capital
Reduction in cash
6.Countermeasures:
(1) In order to improve return on equity and optimize the
capital structure, the proposal of a cash reduction and
refund to shareholders has been approved through the
resolution of shareholders on June 23rd, 2022
(2)The Company's current paid-in capital is TWD12,402,794,550,
from which deducting 62,013,972 ordinary shares cancelled,
the capital reduction of TWD620,139,720 accounts for 5%. After
capital reduction, the Company's paid-in capital will be TWD11,782,654,830.
(3)If creditors have any objection to the capital reduction
proposal,please submit it in writing to the Company until July 23rd,2022
 from the date of the announcement so that the Company can it in
accordance with the provisions of Articles 281, applying
mutatis mutandis the provisions of Article 73 and Article 74
of Company Act. It is hereby announced that you will be
regarded as having no objection if not expressing the objection
after the deadline.
