Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Verizon Communications Inc. (Verizon) previously filed a Current Report on Form 8-K (theOriginal Filing) to report that on June 24, 2021, the Verizon Board of Directors elected Laxman Narasimhan as a director, effective July 1, 2021. At the time of the Original Filing, the Board of Directors had not made a determination regarding any committee assignment for Mr. Narasimhan. Verizon is filing this amended Current Report on Form 8-K/A toreport that on December 2, 2021, the Board of Directors appointed Mr. Narasimhan to the Audit Committee and the Corporate Governance and Policy Committee, effective immediately.

Other than the preceding disclosure, no other disclosure reported in the Original Filing is amended pursuant to this Report.
