Announcement of regulated information according to N.3556/2007 - Notification of significant changes to voting rights
'Thessaloniki Port Authority S.A.' (THPA S.A. or issuer), in accordance with L.3556/2007, informs about the notifications received from the company 'Belterra Holdings Ltd' (Belterra Holdings), from Mr. Nikos Savvidis, from the company 'TransConnect Unternehmensberatungs-und Beteiligungs GmbH' (TransConnect GmbH) and from Dr. Stephan Goetz, regarding the significant change of the voting rights of THPA S.A., which took place as a result of the transfer from 4/6/2021 (transaction date) by the seller 'Helanor Holdings Ltd.' (Helanor) to the buyer 'Belterra Investments Ltd.' (Belterra Investments) of the remaining 70% of the shares of the company 'Melbery Investments Ltd.' (Melbery), which controls, within the meaning of article 3 par. 1 (c) Law 3556/2007, the company 'SOUTH EUROPE GATE-WAY THESSALONIKI-SEGT Ltd.' (SEGT), which holds 6.753.600 shares of the issuer, a percentage corresponding to 67% of the voting rights of THPA S.A.
More specifically:
A) Dr. Stephan Goetz & TransConnect GmbH
The above liable persons, namely Dr. Stephan Goetz and TransConnect GmbH, which is controlled within the meaning of article 3 par. 1 (c) of Law 3556/2007 by Dr. Stephan Goetz, announce that, following the 4/6/2021 private Share Transfer Agreement (STA) between Belterra Investments and Helanor, Dr. Stephan Goetz does not control, neither directly nor indirectly, any voting rights of the issuer ThPA S.A. Prior to the transaction date, Dr. Stephan Goetz indirectly controlled 6.753.600 shares and equal voting rights, that is 67% of the issuer's voting rights.
B) The above liable persons, namely Mr. Nikos Savvidis and Belterra Holdings, announce that Mr. Nikos Savvidis indirectly controls 6.753.600 shares and voting rights of the issuer, which corresponds to 67% of the voting rights, as he controls, within the meaning of article 3 par.1 (c) L. 3556/2007, Belterra Holdings, which controls, within the meaning of article 3 par.1 (c) L. 3556/2007, Belterra Investments, which controls, within the meaning of article 3 par. 1 (c) Law 3556/2007 and following the 4/6/2021 private Share Transfer Agreement (STA) with Helanor, Melbery, which controls, within the meaning of article 3 par.1 (c) Law 3556/2007, 'South East Europe Gateway (SEGT) Ltd ', owner of 6.753.600 voting rights of the issuer, that is a percentage of 67 % of voting rights. Prior to the transaction date, Mr. Nikos Savvidis did not control, neither directly nor indirectly, within the meaning of article 3 par.1 (c) L. 3556/2007, voting rights of the issuer.
