Item 8.01.

Other Events.

On May 9, 2022, Party City Holdco Inc. (the "Company") received a U.S. federal tax refund, which completes all refunds with its 2020 tax year and associated tax return claims. As of close of business on May 9, 2022 and after giving effect to a paydown of short-term borrowings with proceeds from the refund, the Company has approximately $135 million of available borrowings on its asset-based revolving credit facilities in addition to its previous cash on hand.
