Item 1.01
Entry into a Material Definitive Agreement.
On June 30, 2022, The Toro Company ("TTC") entered into a note purchase agreement (the "2022 Note Purchase Agreement") with the purchasers named therein pursuant to which TTC agreed to issue and sell, and the purchasers agreed to purchase, an aggregate principal amount of $100 million of TTC's 3.97% Senior Notes due June 30, 2032 (the "2022 Notes"). On that same date, TTC issued the 2022 Notes to the purchasers named in the 2022 Note Purchase Agreement pursuant thereto. TTC intends to use the proceeds from the 2022 Notes to repay indebtedness originally incurred under its existing revolving credit facility.

The 2022 Note Purchase Agreement contains customary representations and warranties of TTC, as well as certain covenants, including limitations on transactions with affiliates, mergers, consolidations and asset sales and the incurrence of liens and subsidiary indebtedness. The 2022 Note Purchase Agreement also contains (i) a maximum leverage ratio covenant, and (ii) a most favored lender covenant, which effectively incorporates any interest coverage or fixed charge covenant from any material credit facility of TTC or its subsidiaries.

The 2022 Note Purchase Agreement also contains customary events of default (subject in certain cases to specified cure periods), including, but not limited to, non-payment, breach of covenants, representations and warranties, cross defaults, bankruptcy or other insolvency events, judgments and ERISA events.

The 2022 Notes are senior unsecured obligations of TTC. Interest on the 2022 Notes is payable semiannually on the 30th day of June and December in each year, commencing on December 30, 2022.

TTC has the right to prepay all or a portion of the 2022 Notes upon notice to the holders for 100% of the principal amount so prepaid plus a make-whole premium, as set forth in the 2022 Note Purchase Agreement, plus accrued and unpaid interest, if any, to the date of prepayment. In addition, at any time during the 90 day period ending on the maturity date of the 2022 Notes, TTC will have the right to prepay all of the 2022 Notes without any make-whole premium. Upon the occurrence of certain change of control events, holders of the 2022 Notes will have the right to require that TTC purchase such holder's 2022 Notes in cash at a purchase price equal to 100% of the principal amount thereof plus accrued and unpaid interest, if any, to the date of repurchase.

TTC issued the 2022 Notes to the purchasers named in the 2022 Note Purchase Agreement and pursuant thereto on June 30, 2022 in a private placement pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended (the "Securities Act"). The 2022 Notes were not registered under the Securities Act or any state securities laws and may not be offered or sold absent registration under the Securities Act, or pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.

Also on June 30, 2022, TTC entered into a second amendment (the "Amendment") to note purchase agreement, dated as of April 30, 2019 (the "2019 Note Purchase Agreement"), with the institutions named therein. The Amendment amends the 2019 Note Purchase Agreement to (i) remove the minimum interest coverage ratio covenant; (ii) include a most favored lender covenant, which effectively incorporates any interest coverage or fixed charge covenant from any material credit facility of TTC or its subsidiaries; and (iii) exclude certain indebtedness relating to pending transactions when calculating the leverage ratio for purposes of testing the maximum leverage ratio covenant.
