Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2024, Mr. Brian Iverson announced his intention to retire as Senior Vice President, General Counsel and Chief Compliance Officer of Black Hills Corporation, a South Dakota corporation ("BKH"). Mr. Iverson intends to remain in his current role until a successor is appointed and no later than October 1, 2024, and is expected to remain an employee for a transition period following such appointment.
