Represents an award of restricted stock units ("RSUs") awarded to the Reporting Person on March 26, 2024. Each RSU represents a contingent right to receive one share of Common Stock. The RSUs vest as follows: (1) 2,000 RSUs vest on June 20, 2024 (the "Vesting Date") and (2) the remaining 8,000 RSUs vest in three equal, annual installments beginning on the first anniversary of the Vesting Date, subject to the Reporting Person's continuous service through such dates.
