These shares are held of record by The Chatterjee Family Revocable Trust, of which the Reporting Person and the Reporting Person's spouse are co-trustees. The Reporting Person disclaims beneficial ownership of the shares owned by The Chatterjee Family Revocable Trust, except to the extent of his pecuniary interest therein, if any.

Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock.

The RSUs vest in equal quarterly installments over three years, with the first 1/12 vesting on February 20, 2022, until the award is fully vested on November 20, 2024, subject to the Reporting Person's continued service to the Issuer on each vesting date.
