Mercell Holding - Minutes of Annual General Meeting

Oslo, 19 May 2022: The annual general meeting of Mercell Holding ASA was held
today, on 19 May 2022, as an electronic meeting through Lumi AGM.

All the proposed resolutions set out in the notice to the annual general meeting
were adopted in accordance with the proposals, including the re-election of the
board members Joar Welde as chairperson of the board, Erik Fjellvær Hagen as
board member and Helge Nielsen as board member and the authorisations to the
board of directors to increase the share capital of the company by up to NOK
3,500,000 and NOK 20,111,647, respectively.
