Represents shares subject to an award of restricted stock units. Each unit represents a contingent right to receive one share of Issuer's Common Stock. The units vest in full on December 31, 2021 unless the Reporting Person's employment is terminated prior to such date due to his death or disability, or the termination of his employment by the Company without cause, in which case the restricted stock units will become fully vested on the date of termination. Vested shares are delivered as soon as practicable after they vest. This amendment is being filed to correct the vesting terms as well as the amounts reported as beneficially owned following the reported transaction in the Form 4 filed on April 7, 2021.
