Item 5.02(e) Compensatory Arrangements of Certain Officers

On March 25, 2024, the Compensation Committee of the Board of Directors of The Middlefield Banking Company took an action affecting officer compensation, including determining the compensation of Executive Vice President and Chief Financial Officer Michael C. Ranttila. Base salary in 2024 for Mr. Ranttila will be $300,000 (which represents an increase of $40,000 from the 2023 base salary). Mr. Ranttila is not a party to an employment agreement.
