(1) This transaction was made pursuant to a 10b5-1 plan put into place with a term beginning on August 15, 2023 and ending November 15, 2024 that is intended to satisfy the affirmative defense conditions of Rule 10b5-1(c).
(2) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions with prices ranging from $5.9400 to $6.0625 inclusive. The reporting person undertakes to provide to Overseas Shipholding Group, Inc., any security holder of Overseas Shipholding Group, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in Footnote (2) to this Form 4.
