On December 12, 2023, Gary S. Petersmeyer informed the Board that he will retire as a director, effective on the date of the Company's next Annual Meeting of Stockholders in March 2024. There are no disagreements between Mr. Petersmeyer and the Company on any matter relating to the Company's operations, policies or practices.
