Item 3.02 Unregistered Sales of Equity Securities.
On November 29, 2021, we issued an aggregate of 51,217 shares of common stock of our company, of which 16,129 were issued at CDN$1.24 per share and 35,088 were issued at CDN$0.57 per share in consideration of services rendered to our company.
We issued the securities to one non-U.S. person (as that term is defined in Regulation S of the Securities Act of 1933) in an offshore transaction relying on Regulation S and/or Section 4(a)(2) of the Securities Act of 1933.
