On February 17, 2024, Martha H. Marsh, a member of the board of directors (the "Board") of AMN Healthcare Services, Inc. (the "Company") since 2010, notified the Board of her decision not to stand for re-election at the Company's 2024 annual meeting of stockholders (the "Annual Meeting"). Ms. Marsh will continue to serve as a member of the Board until her current term expires at the Annual Meeting, at which time the size of the Board will be decreased to eight directors. Ms. Marsh's decision was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. The Company thanks Ms. Marsh for her service as a member of the Board.
