Ferretti Offering And Dual Listing On Euronext Milan

Shearman & Sterling represented Ferretti S.p.A. ("Ferretti"), currently listed on the Hong Kong Stock Exchange, in connection with the admission to listing and trading of its ordinary shares on the Euronext Milan, the Italian main market and concurrent secondary institutional offering of Ferretti shares.

Ferretti is an established player in the global luxury yacht market, leader in the global luxury inboard yacht market above 9 meters (approximately 30 feet) and among the top players in the super yachts segment. The Ferretti Group designs, manufactures and sells composite, made-to-measure, and super yachts from 8 to 95 meters (approximately 27 and 312 feet) covering a broad and diversified range of types, including portfolio of seven iconic brands: Riva, Wally, Ferretti Yachts, Pershing, Itama, CRN and Custom Line.

The transaction the first dual listing on the Italian main stock exchange market, Euronext Milan, of a company already listed on the Hong Kong Stock Exchange and comprised an offer of existing shares held by the controlling shareholder, Ferretti International Holding S.p.A. (a subsidiary of Weichai Group). Goldman Sachs International, J.P. Morgan SE and UniCredit Bank AG, Milan Branch acted as joint global coordinators and bookrunners whilst Equita SIM S.p.A. and Joh. Berenberg, Gossler & Co KG acted as joint bookrunners. UniCredit acted also as listing agent. CICC acted as financial advisor to Ferretti.

The offering has attracted broad interest among leading Italian and international institutional investors, which will result in a widened and strengthened institutional shareholder base of Ferretti S.p.A.. The first day of trading of Ferretti S.p.A. ordinary shares on the Euronext Milan was June 27, 2023.
