NX Filtration successfully secures debt financing and launches equity offering

NX Filtration successfully secures debt financing and launches equity offering

Combined debt and equity package providing sufficient headroom to fund its growth ambitions well into the future

  • As announced on 9 February 2024, NX Filtration expects its current cash position to be sufficient to fully finance the construction of its new factory and its operations in 2024. In addition, NX Filtration communicated that it would explore a range of possibilities to increase its financial flexibility to implement its growth strategy for the longer term.
  • Today, NX Filtration is delighted to share that it has successfully secured at least €20 million debt financing expected to close in April 2024.
  • Additionally, NX Filtration is now launching an equity offering of new ordinary shares (the New Shares) worth c. 25 million (theOffering), supported by existing substantial shareholders. NX Filtration's management board will also participate in the equity offering.
  • This combined debt and equity financing package will strengthen NX Filtration's balance sheet and support its longer term growth journey. The Company expects that the combined financing package will fund the Company's operations and provide it with sufficient headroom to fund its growth ambitions well into the future.

Further details

The debt financing of at least €20 million (exact amount depending on the final valuation of the Company's new factory) is governed by market standard conditions, with the Company's newly developed real estate serving as security. The debt financing is expected to close in April 2024.

The equity offering will be executed by means of an accelerated bookbuild to qualified investors of new ordinary shares worth c. €25 million. The bookbuilding process will commence with immediate effect and may close at short notice.

ABN AMRO Bank N.V. (ABN AMRO) is acting as Sole Global Coordinator and Sole Bookrunner in the Offering.

Use of proceeds

The net proceeds from the Offering, in combination with the proceeds from the debt financing, will be used to strengthen NX Filtration's balance sheet and support its growth journey, providing the Company with additional flexibility to respond to market developments and accelerate specific growth initiatives when needed. Such growth initiatives could relate to additional investments in its commercial and engineering teams to support the development of large-scale commercial projects, innovations to tailor its products to specific market opportunities and/or unlock new addressable markets, and a further ramp-up of output of its new factory to efficiently handle more and larger orders as they arise. The Company expects that this additional financing provides it with sufficient headroom to fund its growth ambitions well into the future.

Details of the Offering

The proposed Offering will be executed by way of a private placement of the New Shares with exclusion of pre-emption rights. The New Shares will be issued by the Company's management board, with the approval of the supervisory board, under the existing designation of the management board provided by the annual general meeting of the Company held on 6 April 2023 to issue shares and to exclude pre-emptive rights of existing shareholders in relation thereto. The bookbuilding process will commence with immediate effect and may close at short notice.

The New Shares will be offered exclusively to qualified investors in the European Economic Area (EEA). The New Shares will only be offered and sold outside the United States in accordance with Regulation S under the US Securities Act of 1933, as amended. The offer price of the New Shares (the Offer Price) will be determined following an accelerated bookbuild and will be announced upon completion of the bookbuilding process.

The final number of New Shares and the final Offer Price will be announced by the Company as soon as possible after closing of the bookbuilding in a press release which is expected to be published no later than 27 March 2024 8:30 CET, subject to acceleration. Delivery and admission to listing and trading of the New Shares on Euronext Amsterdam is expected to take place on 28 March 2024. The New Shares will rank pari passu in all respects with the existing shares of the Company with the ISIN NL0015000D50.

NX Filtration and NX Filtration's management agreed to a 180 day lock-up period following completion of the transaction, subject to customary exceptions. No prospectus is required and no such prospectus or similar document will be published in connection with the Offering. ABN AMRO is acting as Sole Global Coordinator and Sole Bookrunner in the Offering.
