Material Event - Form 8-K

TheParkmerced Mortgage Loan, which constituted approximately 2.8% of the asset pool of the issuing entity as of its cut-off date, is an asset of the issuing entity and is part of a loan combination that is being serviced and administered under the trust and servicing agreement, dated as of December 19, 2019, relating to the MRCD 2019-PARK Mortgage Trust filed as Exhibit 4.6 to the registrant's Current Report on Form 8-K filed on January 30, 2020 (the "MRCD 2019-PARK TSA"). Pursuant to Section 7.1(d) of the MRCD 2019-PARK TSA, KeyBank National Association, a national banking association, was removed as special servicer of the Parkmerced Mortgage Loan and Green Loan Services LLC ("Green Loan"), a Delaware limited liability company, was appointed as the successor special servicer of the Parkmerced Mortgage Loan under the MRCD 2019-PARK TSA.

In the interest of transaction management, this Current Report on Form 8-K is being filed to record that, effective as of March 13, 2024, the Parkmerced Mortgage Loan will be specially serviced, if necessary, pursuant to the MRCD 2019-PARK TSA, by Green Loan.
