Dentons advises Flensburger Schiffbau-Gesellschaft on acquisition of Nobiskrug shipyard

July 19, 2021

Berlin-Global law firm Dentons has advised Flensburger Schiffbau Gesellschaft mbH (FSG) on the acquisition of the Nobiskrug shipyard in Rendsburg, Germany. FSG will take over operations from August 2021 and seamlessly continue the construction of superyachts under the Nobiskrug brand. Nobiskrug filed for insolvency in April 2021, after which an international M&A process was initiated. Following the successful conclusion of the process, almost all of the 330 shipbuilding jobs will be preserved through a restructuring and transfer of undertaking. The parties have agreed not to disclose the purchase price.

Flensburger Schiffbau-Gesellschaft belongs to the Tennor Holding of German entrepreneur Lars Windhorst. Since its foundation in 1872, FSG has designed and built more than 750 ships, including numerous unique and complex projects such as submersible heavy-lift carriers, seismic vessels, well intervention vessels, state-of-the-art RoRo ferries and ships for strategic naval support.

With 115 years of shipbuilding history, Nobiskrug GmbH is one of the world's leading shipyards for superyachts from 60 meters in length. At the site in Rendsburg (Schleswig-Holstein), the company builds customized superyachts of the highest quality to meet individual customer needs.

A Berlin-based multi-competency Dentons team led by Dr. Christof Kautzsch (Co-Head Global Corporate Group in Europe) advised FSG on the transaction.
