Addus HomeCare Corporation (the 'Company') held its 2021 annual meeting of shareholders (the 'Annual Meeting') on June 16, 2021. At the Annual Meeting, a total of 14,465,607 shares of the Company's common stock, out of a total of 15,903,434 shares of common stock outstanding and entitled to vote, were present in person or represented by proxies. The Company's shareholders (i) elected R. Dirk Allison, Mark L. First and Darin J. Gordon to serve as Class III directors for terms expiring at the 2024 annual meeting of the Company's shareholders; (ii) ratified the appointment of PricewaterhouseCoopers LLP, an independent registered public accounting firm, as the Company's independent auditor for fiscal year 2021; and (iii) approved on an advisory, non-bindingbasis, the Company's compensation of its named executive officers as set forth in the proxy statement filed on April 29, 2021 (the 'Proxy Statement').
