Failure to Satisfy Listing Rule - Form 8-K

Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On April 29, 2024, Scorpius Holdings, Inc. (the "Company") received a notice (the "Notice") from NYSE Regulation (the "Notice") stating that the Company has now regained compliance with Section 1007 of the NYSE American Company Guide as a result of its filing of its Annual Report on Form 10-K for the year ended December 31, 2023 on April 26, 2024.

As previously reported, on April 17, 2024, the Company received a notice from NYSE Regulation that the Company was not on such date in compliance with the continued listing standards of the NYSE American LLC under the timely filing criteria included in Section 1007 of the NYSE American Company Guide because the Company had failed to timely file its Annual Report on Form 10-K for the year ended December 31, 2023, which was due to be filed with the Securities and Exchange Commission no later than April 16, 2024.
