ATTICA HOLDINGS S.A. - MERGER EX-RIGHTS - PRICE FLUCTUATION LIMITS 05.12.2023

As of December 5, 2023, the shares of the company "ATTICA HOLDINGS S.A." (GRS144003001) are traded on the Athens Stock Exchange without the right to participate in the share capital increase due to the merger by acquisition of the listed company "ANEK LINES S.A.". The shares΄ exchange ratio is the following: (i) Each shareholder of the company "ANEK LINES S.A." exchanges each 1 old common (CR) or preferred (PR issue '90, PR issue '96) registered share held with 0.1217 new (CR) share of the company "ATTICA HOLDINGS S.A.", and (ii) The shareholders of the company "ATTICA HOLDINGS S.A." retain the number of shares held.

It is clarified, according to article 2.6.3. of the ATHEX Rulebook and to decisions No 22 & 26 of the ATHEX BoD, as in effect, that the fluctuation price limits of the share price only for the trading session on December 5, 2023, are set as follows: +10% at the closing share price of the ATHEX last trading session (04/12/2023): €2.5700 and -10% at the adjusted start share price: €2.5300.

Maximum Trading limit +10%: € 2.8200

Minimum Trading limit -10%: € 2.2800

According to the above, and taking into consideration that in the system ΟΑΣΗΣ (the Advanced Electronic & Automated System for Securities Trading of ATHEX) the start share price - in this case - is the adjusted share price, the maximum and minimum trading limits are formed as follows:

Ceiling Α΄ + 11.47%: € 2.8200

Floor Α΄ -10%: €2.2800
