Item 3.02. Unregistered Sales of Equity Securities.
As of April 1, 2024, Barings Private Credit Corporation (the "Company") sold 3,262,785.812 unregistered shares (the "Shares") of the Company's common stock, par value $0.001 per share (the "Common Stock"), (with the number of shares issued being determined on April 23, 2024) pursuant to subscription agreements entered into with the participating investors for aggregate consideration of approximately $68.4 million.
The offer and sale of the Shares was exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), pursuant to Section 4(a)(2) thereof and Regulation D thereunder and/or Regulation S under the Securities Act (the "Private Offering").
