The One SoHo Square Mortgage Loan, which constituted approximately 7.1% of the asset pool of the issuing entity as of its cut-off date, is an asset of the issuing entity and is part of a loan combination that is being serviced and administered under the trust and servicing agreement, dated as of July 30, 2021, relating to the SOHO Trust 2021-SOHO filed as Exhibit 4.2 to the registrant's Current Report on Form 8-K filed on September 29, 2021 (the "SOHO 2021-SOHO TSA"). Pursuant to Section 6.4(a) of the SOHO 2021-SOHO TSA, Midland Loan Services, a Division of PNC Bank, National Association, a national banking association, was removed as special servicer of the One SoHo Square Mortgage Loan and K-Star Asset Management LLC ("K-Star"), a Delaware limited liability company, was appointed as the successor special servicer of the One SoHo Square Mortgage Loan under the SOHO 2021-SOHO TSA.

This Current Report on Form 8-K is being filed to record that, effective as of May 15, 2023, the One SoHo Square Mortgage Loan will be specially serviced, if necessary, pursuant to the SOHO 2021-SOHO TSA, by K-Star. The principal servicing offices of K-Star are located at 5949 Sherry Lane, Suite 950, Dallas, Texas 75225.
