Shareholders approved all proposals at the Annual General Meeting of UBS Group AG.
Zurich, 24 April 2024 - Shareholders of UBS Group AG approved all proposals made by the Board of Directors at today's Annual General Meeting (AGM). The independent proxy represented 1 939 988 456 votes.
The shareholders approved the management report and the consolidated and standalone financial statements of UBS Group AG for the 2023 financial year by 99.22%.
Shareholders ratified the Compensation Report 2023 in an advisory vote by 83.54%.
Shareholder ratified the UBS Sustainability Report 2023 in an advisory vote by 93.37%.
Shareholders approved the appropriation of total profit and an ordinary dividend distribution of USD 0.70 per share in cash (99.39%).
Shareholders approved the creation of conversation capital and amendments to the Articles of Association with 90.88%.
Shareholders approved the discharge of the members of the Board of Directors and the Group Executive Board for the 2023 financial year (94.81%).
The AGM confirmed Colm Kelleher, as Chairman of the Board of Directors (96.01%), Lukas Gähwiler (98.64%), Jeremy Anderson (98.40%), Claudia Böckstiegel (99.12%), William C. Dudley (98.96%), Patrick Firmenich (98.54%), Fred Hu (97.24%), Mark Hughes (99.16%), Nathalie Rachou (99.12%), Julie G. Richardson (98.00%), Jeanette Wong (97.92%) and newly elected Board of Directors member Gail Kelly (99.11%) for a one-year term of office, until the 2025 AGM.
Shareholders re-elected Julie G. Richardson (92.79%) and Jeanette Wong (95.62%) and newly elected Fred Hu (96.96%), for a one-year term of office, until the 2025 AGM.
Shareholders retroactively approved an incremental amount of compensation for the members of the Board of Directors from the 2023 to the 2024 AGM (89.70%).
Shareholders approved the maximum aggregate amount of compensation for the members of the Board of Directors from the 2024 to the 2025 AGM (89.84%).
Shareholders approved the aggregate amount of variable compensation for the members of the Group Executive Board for the 2023 financial year (88.45%).
Shareholders approved the maximum aggregate amount of fixed compensation for the members of the Group Executive Board for the 2025 financial year (90.97%).
Shareholders approved the re-election of the independent proxy, ADB Altorfer Duss & Beilstein AG, Zurich, (99.53%) and the auditors, Ernst & Young Ltd, Basel (93.15%) and the special auditors, BDO AG, Zurich (98.71%).
