ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS
On December 7, 2021, the Board of Directors of Danaher Corporation (the "Company") amended and restated the Company's 2007 Omnibus Incentive Plan (the "Plan") to amend the "Years of Service" definition used for purposes of determining Early Retirement eligibility (capitalized terms used in this description have the meaning set forth in the Plan). The amendment gives the Administrator the discretion to provide (either initially or subsequent to the grant of the relevant Award) that with respect to any Award granted to a Participant during the first year following the date as of which such Participant's employer became an Acquired Subsidiary, the Participant's employment with the Acquired Subsidiary before it was acquired by Danaher does not count toward "Years of Service" eligibility. This description of the amendment is qualified in its entirety by reference to the Plan filed as Exhibit 10.1 hereto and incorporated by reference herein.
