Item 5.02 Departure of Directors or Certain Officers; Elections of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On October 2, 2023, Carl E. Vogel notified the Board of Directors (the "Board") of Universal Electronics Inc. ("UEI") of his decision to resign, effective immediately, from his position as a member of the Board. Mr. Vogel's resignation was not a result of any disputes or disagreements with management or the Board.
Mr. Vogel was a Class II director of the Company and also served on UEI's Audit Committee.
The Board expressed its thanks to Mr. Vogel for his contributions to UEI.
