Amendment No. 94 to the Trust's Registration Statement relates to the Simplify Wolfe Alpha Capture ETF, Simplify Wolfe US Equity 150/50 ETF, Simplify Wolfe Market Neutral SHIELD ETF and Simplify Wolfe Market Neutral Quality ETF. Parts A, B and C of the Registrant's Post-Effective Amendment No. 94 under the Securities Act of 1933, as amended and Amendment No. 95 under the Investment Company Act of 1940, as amended, filed with effect on May 28, 2024, are incorporated by reference herein.
