Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 11, 2025, the Board of Directors of Forward Industries, Inc. (the "Company") approved the filing of a Certificate of Amendment to the Company's Certificate of Incorporation (the "Amendment") to increase the number of authorized shares of Series A-1 Preferred Stock from 2,700 shares to 6,700 shares. The Amendment was subsequently filed with and accepted by the Department of State of New York on March 13, 2025.
